Terms of Use

These Terms of Use ("Terms") govern your access to and use of the websites, products, and services operated by Payface (Payface Instituição de Pagamento S.A. and its affiliates, collectively "Payface," "we," "us," or "our"), including the Payface and Fortface platforms (the "Platform"). By accessing or using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

1. Use of the Platform

You may access and use the Platform solely for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in any way that violates applicable federal, state, or local laws or regulations.
• Attempt to gain unauthorized access to any part of the Platform or its related systems or networks.
• Reverse engineer, decompile, or disassemble any component of the Platform.
• Use the Platform to transmit any harmful, offensive, or unauthorized content.
• Introduce malware, viruses, or any other malicious code into the Platform.
• Attempt to circumvent or defeat any liveness detection, fraud prevention, or security mechanism.
• Use automated tools (bots, scrapers, crawlers) to access or interact with the Platform without our prior written consent.

2. Access and accounts

Access to certain features of the Platform requires an account or integration agreement with Payface. You are responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to Payface, other users, or third parties.

3. Biometric data and consent

The Platform processes biometric data (including facial images and biometric templates) to enable authentication and identification services. Where Payface acts as a data processor on behalf of a business using our services, that business is responsible for obtaining the necessary consents and providing required notices to its users before biometric data is collected.

Where Payface acts as a data controller, we will obtain explicit, opt-in consent before collecting biometric data, inform you of the specific purposes and retention periods, and allow you to withdraw consent and request deletion of your biometric data in accordance with our Privacy Policy.

4. Intellectual property

The Platform and all content, features, and functionality — including but not limited to software, algorithms, text, graphics, logos, and images — are owned by Payface or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Platform beyond a limited, non-exclusive, non-transferable right to use it as permitted herein.

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Payface without restriction or compensation.

5. Third-party links and services

The Platform may contain links to third-party websites or services. These links are provided for convenience only. Payface does not control, endorse, or assume responsibility for any third-party content, privacy practices, or availability. Your use of third-party services is at your own risk and subject to those parties' terms.

6. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PAYFACE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PAYFACE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM.

IN NO EVENT SHALL PAYFACE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO PAYFACE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Payface and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.

9. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

You agree that any claims or disputes will be resolved individually, not as part of a class action or other representative proceeding.

10. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page with an updated date. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.
